1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Voaise Technologies ("Voaise," "we," "our," or "us") governing your access to and use of the Voaise platform.

The Voaise platform is a web-based suite of AI-powered tools including transcription, dictation, text rewriting, grammar correction, fact-checking, file conversion, visual analysis, and collaborative workspaces, together with all related services, APIs, and infrastructure (collectively, the "Service").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

• You must be at least 18 years of age to use the Service.
• If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms — see also our Master Service Agreement for enterprise/organizational deployments.
• You must provide accurate and complete information when creating your account and keep it updated.

3. Description of Services

The Service provides AI-assisted productivity tools, including:

• Transcription & Dictation: Convert audio or spoken input into text.
• Rewriting & Grammar: Rewrite, rephrase, and correct text.
• Fact-Checking: Analyse statements for factual accuracy.
• File Conversion: Convert supported file formats.
• Visual Analysis: Analyse images you submit.
• Collaborative Workspaces: Share sessions and work with members of your organization.

Feature availability and usage limits for each plan are described in-app and on our pricing page, and may change with notice.

4. Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at support@voaise.com if you suspect unauthorized access to your account.
• We are not liable for any losses arising from unauthorized use of your account credentials.
• You may not share, transfer, or sell your account to another person.

5. Subscription Plans and Payments

5.1 Plans

The Service is offered in tiered subscription plans, including a free tier and paid plans such as Basic, Professional, and Premium, as well as one-time starter packs and custom Organization plans. Feature availability, usage limits, and pricing for each plan are described in-app and on our pricing page, and may change with notice.

5.2 Billing

• All subscription and top-up prices are listed and billed in Indian Rupees (INR) unless otherwise stated.
• Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected; one-time packs are billed once, immediately, at the time of purchase.
• Payments are processed securely through certified payment gateways verified by the relevant authorities. You agree to the payment provider's terms of service governing the transaction, in addition to these Terms. We never receive, handle, or store your card number, CVV, or other raw payment credentials — see Section 2.4 of our Privacy Policy.
• Subscription fees are non-refundable except as described in our Refund Policy.

5.3 Price Changes

We may change subscription pricing with at least 30 days' advance notice. Existing subscribers will be notified via email or in-app notification before any price increase takes effect. You may cancel your subscription before the new pricing applies.

5.4 Taxes

Applicable taxes (including GST) are calculated and collected at checkout based on your billing location, in accordance with applicable law. The payment provider is responsible for the mechanics of tax collection and remittance where required.

6. User Content

6.1 Ownership

You retain full ownership of all content you create, upload, or generate using the Service ("User Content"), including audio recordings, transcriptions, text, files, images, and assistant conversation history.

6.2 License to Voaise

By using the Service, you grant Voaise a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account. Your content is never used to train third-party foundation AI models — see Section 4 of our Privacy Policy.

6.3 Your Responsibilities

You represent and warrant that:

• You have all necessary rights and permissions to your User Content.
• Your User Content does not infringe any third party's intellectual property, privacy, or other rights.
• When recording or processing content that involves others, you have obtained any consent required by applicable law.
• Your User Content does not contain illegal, harmful, threatening, abusive, defamatory, or obscene material.

7. AI-Generated Content

• Responses, transcriptions, translations, and other AI outputs are generated by machine-learning models and may contain errors, inaccuracies, or hallucinations.
• AI-generated content should not be relied upon as professional, legal, medical, or financial advice. Always verify important information independently.
• You are solely responsible for any decisions or actions you take based on AI-generated content.
• Voaise makes reasonable efforts to ensure accuracy but does not guarantee the correctness, completeness, or reliability of AI outputs.

8. Third-Party Integrations

The Integrations section of your dashboard lets you optionally connect to a range of third-party services (such as Google Gmail, Calendar, and Tasks) using OAuth authorisation. When you authorise a connection:

• You grant the Service permission to access, read, and in some cases modify data in those services on your behalf.
• Third-party services are governed by their own terms and privacy policies.
• You can revoke access to any connected service at any time from the Integrations screen or the third-party service's own settings.
• Voaise is not responsible for the availability, accuracy, or behavior of third-party services.

9. Prohibited Uses

You agree not to:

• Use the Service to violate any applicable law, regulation, or ordinance
• Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Access or attempt to access other users' accounts or data
• Resell, sublicense, or redistribute the Service without our written consent
• Use automated tools (bots, scrapers) to access the Service except through our published APIs
• Circumvent usage limits, rate limits, or subscription restrictions
• Use the Service to send spam, unsolicited messages, or phishing communications

10. Intellectual Property

The Service, including all software, algorithms, designs, trademarks, logos, documentation, and proprietary technology, is owned by Voaise Technologies and protected by Indian and international intellectual property laws. These Terms do not transfer any Voaise intellectual property rights to you.

"Voaise" and the Voaise logo are trademarks of Voaise Technologies. You may not use our trademarks without prior written permission.

11. Service Availability

• We strive for high availability but do not guarantee uninterrupted access to the Service.
• We may perform scheduled maintenance with reasonable advance notice.
• Features and functionality may be added, modified, or removed at our discretion.
• AI model performance and capabilities may vary and are subject to change as we update our systems.

12. Termination

12.1 By You

You may cancel your subscription and delete your account at any time. Cancellation takes effect at the end of the current billing period. Upon account deletion, your data is removed in accordance with our Privacy Policy.

12.2 By Voaise

We may suspend or terminate your account if you violate these Terms, engage in prohibited uses, fail to pay applicable fees, or if required by law. We will provide reasonable notice where possible, except in cases of serious violation.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will continue to apply.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• Voaise does not warrant that the Service will be error-free, secure, or uninterrupted.
• Voaise does not warrant the accuracy of AI-generated content, transcriptions, or translations.
• In no event shall Voaise be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Voaise's total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to Voaise in the 12 months preceding the claim.

Nothing in this section limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or statutory consumer protection rights that cannot be waived (see also Section 15).

14. Indemnification

You agree to indemnify, defend, and hold harmless Voaise Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or recording consent laws
• Any User Content you create, upload, or distribute through the Service

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with arbitration conducted in English in Guwahati, Assam, India.

The courts of Guwahati, Assam shall have exclusive jurisdiction for any matters not subject to arbitration. This Section does not limit any non-waivable rights you have under the Consumer Protection Act, 2019 (India) or other mandatory consumer protection law applicable to you.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and may request account deletion.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and (where applicable) Data Processing Agreement or Master Service Agreement, constitute the entire agreement between you and Voaise.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. Voaise may assign its rights to a successor entity.
• Force Majeure: Voaise is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, pandemic, government action, internet outages, or power failures.
