1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Voaise Technologies ("Voaise," "we," "our," or "us") governing your access to and use of the Voaise platform.

The Voaise platform includes the Voaise web application (voaise.com), the VoaiseGlass mobile application, Voaise AI Smart Glasses hardware, in-app AI assistant features that help the application recognise objects, understand speech, translate, and respond to voice commands, and all related services, APIs, and infrastructure (collectively, the "Service").

By creating an account, downloading our application, pairing smart glasses, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

• You must be at least 18 years of age to use the Service.
• If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
• You must provide accurate and complete information when creating your account and keep it updated.

3. Description of Services

3.1 Voaise Web Platform

AI-powered multilingual transcription, translation, and voice analysis accessible through web browsers.

3.2 VoaiseGlass Mobile Application

Android companion application for managing smart glasses connections, importing media, configuring device settings, and interacting with the in-app assistant features.

3.3 Voaise AI Smart Glasses

Wearable hardware device with built-in camera, microphone, speaker, and Bluetooth Low Energy connectivity. Designed for hands-free photo/video capture, voice commands, live translation, and AI-assisted daily tasks.

3.4 In-App Assistant Features

Your personal AI assistant that processes voice and text commands, maintains long-term memory of your preferences, manages reminders and automations, and integrates with third-party services you authorize (such as Gmail, Calendar, and Tasks).

4. Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at support@voaise.com if you suspect unauthorized access to your account.
• We are not liable for any losses arising from unauthorized use of your account credentials.
• You may not share, transfer, or sell your account to another person.

5. Subscription Plans and Payments

5.1 Plans

The Service is offered in tiered subscription plans: Novice (free tier with limited features), Proficient (paid tier with expanded capabilities), and Master (premium tier with full access). Feature availability and usage limits for each tier are described on our pricing page and may change with notice.

5.2 Billing

• All prices are listed in Indian Rupees (INR) unless otherwise stated.
• Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected.
• Payments are processed through Razorpay and PhonePe. You agree to their respective terms of service.
• Subscription fees are non-refundable except as described in our Refund Policy.

5.3 Price Changes

We may change subscription pricing with at least 30 days' advance notice. Existing subscribers will be notified via email before any price increase takes effect. You may cancel your subscription before the new pricing applies.

5.4 Taxes

All fees are inclusive of applicable Goods and Services Tax (GST) as required under Indian law. For international users, applicable taxes will be determined based on your billing address.

6. Smart Glasses Hardware

6.1 Pre-Orders

Smart glasses may be available for pre-order before commercial availability. Pre-order reservations are subject to the terms displayed at the time of order, including estimated delivery timelines. Delivery dates are estimates and not guarantees.

6.2 Hardware Warranty

Voaise AI Smart Glasses are covered by a limited hardware warranty of 1 year from the date of delivery, covering manufacturing defects under normal use conditions. The warranty does not cover damage from misuse, water immersion (beyond rated IP protection), unauthorized modifications, or accidents.

6.3 Safety

• Do not wear smart glasses while driving, operating machinery, or in situations requiring unobstructed vision.
• Smart glasses contain lithium-ion batteries. Follow all charging and storage instructions.
• Prolonged use may cause discomfort. Take regular breaks.
• You are responsible for complying with local recording and photography laws when using the glasses' camera and microphone in public or private spaces.

7. User Content

7.1 Ownership

You retain full ownership of all content you create, upload, capture, or generate using the Service ("User Content"), including audio recordings, transcriptions, photos, videos, and assistant conversation history.

7.2 License to Voaise

By using the Service, you grant Voaise a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account.

7.3 Your Responsibilities

You represent and warrant that:

• You have all necessary rights and permissions to your User Content.
• Your User Content does not infringe any third party's intellectual property, privacy, or other rights.
• When recording others using smart glasses, you have obtained their consent as required by applicable law.
• Your User Content does not contain illegal, harmful, threatening, abusive, defamatory, or obscene material.

8. AI-Generated Content

• Responses, transcriptions, translations, and other AI outputs are generated by machine-learning models and may contain errors, inaccuracies, or hallucinations.
• AI-generated content should not be relied upon as professional, legal, medical, or financial advice.
• You are solely responsible for any decisions or actions you take based on AI-generated content.
• Voaise makes no representations or warranties regarding the accuracy, completeness, or reliability of AI outputs.

9. Third-Party Integrations

The assistant feature can connect to third-party services (Google Gmail, Google Calendar, Google Tasks, and others) using OAuth authorisation. When you authorise a connection:

• You grant the app permission to access, read, and in some cases modify data in those services on your behalf.
• Third-party services are governed by their own terms and privacy policies.
• You can revoke access to any connected service at any time from the Plugins screen in the app or from the third-party service's settings.
• Voaise is not responsible for the availability, accuracy, or behavior of third-party services.

10. Prohibited Uses

You agree not to:

• Use the Service to violate any applicable law, regulation, or ordinance
• Record, photograph, or surveil others without their knowledge and consent where required by law
• Use the assistant feature to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service or hardware
• Use the Service to transmit malware, viruses, or other harmful code
• Access or attempt to access other users' accounts or data
• Resell, sublicense, or redistribute the Service without our written consent
• Use automated tools (bots, scrapers) to access the Service except through our published APIs
• Circumvent usage limits, rate limits, or subscription restrictions
• Use the Service to send spam, unsolicited messages, or phishing communications

11. Intellectual Property

The Service, including all software, algorithms, designs, trademarks, logos, documentation, and proprietary technology, is owned by Voaise Technologies and protected by Indian and international intellectual property laws. These Terms do not transfer any Voaise intellectual property rights to you.

"Voaise," "VoaiseGlass," and the Voaise logo are trademarks of Voaise Technologies. You may not use our trademarks without prior written permission.

12. Service Availability

• We strive for high availability but do not guarantee uninterrupted access to the Service.
• We may perform scheduled maintenance with reasonable advance notice.
• Features and functionality may be added, modified, or removed at our discretion.
• AI model performance and capabilities may vary and are subject to change as we update our systems.

13. Termination

13.1 By You

You may cancel your subscription and delete your account at any time. Cancellation takes effect at the end of the current billing period. Upon account deletion, your data will be removed in accordance with our Privacy Policy.

13.2 By Voaise

We may suspend or terminate your account if you violate these Terms, engage in prohibited uses, fail to pay applicable fees, or if required by law. We will provide reasonable notice where possible, except in cases of serious violation.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will continue to apply.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• Voaise does not warrant that the Service will be error-free, secure, or uninterrupted.
• Voaise does not warrant the accuracy of AI-generated content, transcriptions, or translations.
• In no event shall Voaise be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Voaise's total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to Voaise in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Voaise Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or recording consent laws
• Any User Content you create, upload, or distribute through the Service

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with arbitration conducted in English in Guwahati, Assam, India.

The courts of Guwahati, Assam shall have exclusive jurisdiction for any matters not subject to arbitration.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and may request account deletion.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Voaise.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. Voaise may assign its rights to a successor entity.
• Force Majeure: Voaise is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, pandemic, government action, internet outages, or power failures.
